Welspun Investments plans ₹1,285 crore infusion into Vishwakarma Realty


Welspun Investments and Commercials has approved a fund infusion of up to ₹1,285 crore into its wholly owned subsidiary, Vishwakarma Realty.

The decisions were approved by the company’s board on Thursday, September 3, according to a regulatory filing. The investment in Vishwakarma Realty will be made through a combination of compulsorily convertible debentures (CCDs) and optionally convertible debentures (OCDs).

Welspun Investments will subscribe to up to 75 crore CCDs and 53.5 crore OCDs, each with a face value of ₹10. The investment can be made in one or more tranches, with the timing to be decided by the board or an authorised committee.

Vishwakarma Realty is a wholly owned subsidiary of Welspun Investments and was incorporated on December 11, 2025. It operates in real estate and allied activities but has not yet commenced business. It reported no turnover for financial year 2025-26. Its net worth and total assets stood at ₹4.76 lakh as of March 31, 2026.

The fund infusion will not change Welspun Investments’ ownership in Vishwakarma Realty, which will continue to be wholly owned by the company. The filing said the transaction is being carried out on an arm’s-length basis.

₹1,000 crore investment in promoter group company

Separately, the board approved a proposal for Vishwakarma Realty to invest up to ₹1,000 crore in Indivara Realty through optionally convertible debentures.

The subsidiary will subscribe to up to 100 crore OCDs, with a face value of ₹10 each. The investment will also be made in one or more tranches. The proposal is subject to approval from Welspun Investments’ shareholders, where required.

Indivara Realty is a promoter group company of Welspun Investments, making the proposed investment a related-party transaction. The filing said the transaction is proposed to be undertaken on an arm’s-length basis.The sequence of transactions means Welspun Investments will first provide funds to Vishwakarma Realty, which will then deploy up to ₹1,000 crore into Indivara Realty. The company did not provide further details on the use of funds by Indivara Realty in the filing.

Shares of Welspun Investments and Commercials closed at ₹2,187, up 1.95% from its previous close.
