Zero-Interest Notes and a Share Exchange Spark the Selloff

Cipher Digital priced a private offering of $850 million in zero-interest convertible senior notes to qualified institutional buyers. Part of the proceeds goes into capped call transactions meant to limit dilution on conversion, with the remainder funding an additional equity investment in the Barber Lake data center project. According to Cipher Digital, an amended lease with an AI lab raised Barber Lake’s contracted revenue and doubled its base term. The new investment covers the company’s share of that expansion.
