What this means for investors
ADT’s run on the public markets appears to be nearing an end after its board voted unanimously to approve an all-cash, $10 per share buyout offer from private equity firm Thrive Holdings. The offer is roughly a 50% premium over ADT’s 30-day average.
A steady cash generator with minimal sales growth of late (largely flat over the last five years), ADT seemed somewhat destined for the private markets, and that came to fruition today. Even after today’s skyrocketing price, ADT trades with an EV-to-EBITDA ratio of roughly 6 and a P/FCF ratio of 5, highlighting the market’s pessimistic outlook on the stock’s growth prospects.
Following news of the deal and its pricing, ADT now trades just 1% below its potential take-private price, suggesting the market is fully expecting the deal to go through. The deal is expected to close early in 2027, and ADT will fit into Thrive’s existing ownership portfolio of over 75 businesses.
If I were a shareholder, I’d likely take the premium and move on, unless you believe a higher bid may be coming.
