EQT To Acquire QIAGEN In €10.8 Billion Take-Private With ADIA And CPP Investments

QIAGEN has entered into an agreement supporting an all-cash voluntary public takeover offer from EQT Private Equity that values the life sciences and molecular diagnostics company at approximately €10.8 billion in enterprise value, or about $12.1 billion at current exchange rates.

Under the transaction, Crown NL Bidco, a holding company indirectly controlled by the EQT XI fund, will offer QIAGEN shareholders €46.50 in cash for each outstanding share.

The bidder also includes indirect co-investments from Luxinva, a wholly owned subsidiary of the Abu Dhabi Investment Authority, and CPP Investment Board Europe, a wholly owned subsidiary of CPP Investments.

The €46.50-per-share offer represents a 40.3% premium to QIAGEN’s €33.15 XETRA closing price on July 8, 2026, the last trading day before market reports emerged regarding potential private equity takeover interest. It also represents a 46.9% premium to QIAGEN’s three-month volume-weighted average share price through that date.

QIAGEN’s Supervisory Board and Managing Board unanimously support the transaction following a strategic review that included consideration of the company’s standalone prospects and discussions with both strategic and financial parties.

QIAGEN believes private ownership could provide greater flexibility to make long-term investments in product innovation, research and development, and strategic growth initiatives.

Under the business combination agreement, EQT has made commitments regarding QIAGEN’s strategy, key brands, operating footprint, R&D activities, employee arrangements, financing, and corporate culture. QIAGEN is expected to continue operating under its existing name and brand following completion.

EQT manages approximately €354 billion in assets and has invested more than €30 billion across over 210 healthcare companies globally. Its current and former healthcare investments include SPT Labtech, Galderma, Parexel, Aldevron, Dako, and HemoCue.

The takeover is subject to a minimum acceptance threshold of 50% of QIAGEN’s outstanding share capital plus one share, shareholder actions related to post-closing measures, and customary merger control, foreign investment, and other regulatory approvals.

EQT has secured committed equity and debt financing sufficient to fund the transaction and associated costs, and the deal is not subject to a financing condition. Morgan Stanley, Jefferies, Deutsche Bank, SMBC, Crédit Agricole, and UniCredit are supporting the committed debt financing.

After completion of the planned post-closing measures, QIAGEN’s listings on the Frankfurt Stock Exchange and New York Stock Exchange are expected to terminate.

The transaction is currently expected to close in mid-2027. Until then, QIAGEN will continue to operate independently under its current management.

QIAGEN serves more than 500,000 customers globally across life sciences and molecular diagnostics and employed approximately 5,400 people across more than 35 locations as of September 30, 2026.
