Info Edge to invest Rs 40 crore in wholly-owned subsidiary Startup Investments – Industry News
Noida-based Info Edge (India), the parent company of Naukri.com, 99acres, Jeevansathi and Shiksha, will invest approximately Rs 40 crore in Startup Investments, a wholly-owned subsidiary, the company said in a regulatory filing on Wednesday.
How will Info Edge invest Rs 40 crore in Startup Investments Holdings?
Under the terms of the transaction, Info Edge will acquire 18,68,285 compulsorily convertible debentures (CCDs) carrying a 0.0001% coupon, at an issue price of Rs 214.10 each, which includes a premium of Rs 114.10 per debenture. The investment will be made through cash consideration, and the company expects to complete the transaction within 30 days of approval.
Following the infusion, SIHL will continue to remain a wholly-owned subsidiary of Info Edge.
What does Startup Investments Holdings (SIHL) do?
SIHL was incorporated on March 4, 2015, and is primarily engaged in direct and indirect investments in technology companies, including contributions to Alternative Investment Funds (AIFs). The entity has reported nil turnover for each of the last three financial years, 2023-24, 2024-25 and 2025-26.
As of March 31, 2025, SIHL recorded a net loss of Rs 0.2 crore and a net worth of Rs 203.31 crore, with nil turnover for the year, as per the filing.
Info Edge holds its stake in SIHL both directly and indirectly through Naukri Internet Services Ltd, another wholly-owned subsidiary, on a fully converted and diluted basis. Given this shareholding structure, the transaction falls within the ambit of a related-party transaction under the Companies Act, 2013. The company clarified that none of its promoters, promoter group entities or group companies have any interest in the investment, and that the deal has been carried out on an arm’s length basis.
Why is Info Edge investing Rs 40 crore in SIHL?
Info Edge said the fresh capital is intended to help SIHL pursue investment opportunities, including contributions to AIFs, alongside other general corporate purposes. The filing noted that no governmental or regulatory approvals are required for the transaction.
